ANCOVO

GENERAL CONDITIONS
&
TERMS OF SALE

1. Scope and Introduction
These terms and conditions apply to all orders placed with ANCOVO, a Belgian private limited company specializing in the import and sourcing of Vietnamese agroforestry products. By placing an order, the buyer agrees to these terms. Any differing terms are only valid if explicitly confirmed in writing by ANCOVO. Failure to invoke a provision immediately does not constitute a waiver of rights in the future.

2. Offers, Orders, and Prices
Our offers are non-binding unless expressly agreed otherwise in writing. An order becomes final only after written confirmation by ANCOVO. All prices are exclusive of VAT, import duties, levies, and transportation costs unless stated otherwise. Prices may be adjusted in the event of significant changes in raw material costs or other production expenses.

3. Minimum Invoice and Administration
The minimum invoice amount per order is €5,000 excluding VAT. For orders below this amount, an administration fee of €80 and transportation costs according to the carrier’s rates will be charged.

4. Delivery and Risk Transfer
Delivery times are indicative and do not entitle the buyer to penalties or cancellation. Risk passes to the buyer upon delivery, even if ownership only transfers after full payment. Any damage or (suspected) theft during transport must be recorded immediately on the delivery note or CMR waybill and reported to ANCOVO within 48 hours.

5. Transfer of Ownership
Ownership of the products remains with ANCOVO until full payment, including any additional costs, has been received.

6. Use and Liability
The buyer is fully responsible for the use of the products in compliance with applicable laws and for their integration into their production processes or applications. ANCOVO provides only the warranties specified on the product information sheet. In case of non-compliance, ANCOVO’s liability is limited to the refund or replacement of the delivered products. For all other uses or consequences, the buyer remains fully liable.

7. Intellectual Property and Know-How
All recipes, production methods, and know-how are the property of ANCOVO. Exclusive usage rights can only be granted via a written agreement. Buyers have no ownership rights to ANCOVO’s recipes or methods.

8. Complaints and Objections
Complaints about delivered goods must be submitted by registered mail within eight days of receipt. Invoices are deemed accepted if no objection is raised within eight days.

9. Payment
Payment must be made at ANCOVO’s registered office, either in cash or within the agreed payment term. Payment via negotiable instruments does not alter this requirement.

​

10. Default and Interest
If payment is not made on the due date, the buyer is automatically liable for a fee of 15% of the invoice amount plus statutory interest, without prior notice of default.

​

11. Governing Law and Competent Court
All agreements are governed exclusively by Belgian law. Disputes shall be exclusively submitted to the courts of Antwerp.
